Terms of Use

These Terms of Use (the "Terms") govern your access to and use of the Kortecx distributed agentic runtime and any related services (collectively, the "Services"), each operated and licensed by Executable Intelligence ("Kortecx," "we," "us"). By accessing, installing, or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.

1. Acceptance of Terms

By creating an account, joining the waitlist, downloading the installer, running a Hosted Engine, or otherwise using the Services, you accept these Terms, our Privacy Policy, and any order form, Data Processing Addendum (DPA), or Acceptable Use Policy referenced here. If you do not accept, you must not use the Services.

2. Definitions

  • "Kortecx OS" — the proprietary distributed agentic runtime, including the execution kernel, scheduler, agent runtime, policy layer, and bundled tools, distributed by Kortecx.
  • "Local Install" — Kortecx OS installed and operated on hardware you own.
  • "Hosted Engine" — an instance of Kortecx OS provisioned and operated by Kortecx and accessed through your browser.
  • "Frontier Models" — the Kortecx-operated cloud models invoked by the OS for heavy reasoning.
  • "Customer Content" — prompts, files, datasets, tool outputs, agent actions, and execution traces you submit to or generate through the Services.
  • "Outputs" — results returned to you by the OS.
  • "Customer Models" — third-party or open-source models you elect to install and run inside Kortecx OS.

3. Eligibility & Accounts

The Services are intended for users aged 18 or older (16 or older in jurisdictions where local law permits) acting on behalf of a business, research, or educational organization. You are responsible for maintaining the confidentiality of your authentication credentials and for all activity occurring under your account or Local Install. You must notify us promptly of any suspected unauthorized access or use.

4. License — Local Install

Subject to your continued compliance with these Terms and timely payment of applicable fees, Kortecx grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use Kortecx OS on hardware you own and operate, for the number of seats and devices specified in your subscription or order form, during the applicable subscription term. You will not (a) sublicense, lease, sell, or distribute Kortecx OS, (b) make it available to third parties on a service-bureau basis, (c) circumvent license enforcement, copy protection, or update mechanisms, or (d) reverse-engineer, decompile, extract model weights from, or attempt to derive source code from the OS, except to the extent such restriction is prohibited by applicable law. The OS may collect minimum operational telemetry required to validate licensing, deliver security updates, and enforce the policy layer; this telemetry is described in our Privacy Policy.

5. License — Hosted Engine

Subject to these Terms and timely payment of applicable fees, Kortecx grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use Hosted Engines through your browser for your internal business purposes during the applicable subscription term. Hosted Engines run on Kortecx-operated infrastructure. All rights not expressly granted are reserved. Use of Hosted Engines is subject to fair-use limits and metered inference billing as described in Section 13.

6. Acceptable Use & Safety

You agree not to use the Services to engage in or facilitate any unlawful, harmful, abusive, deceptive, infringing, or fraudulent activity. Without limiting the foregoing, you will not:

  • violate applicable laws or third-party rights, including intellectual property, privacy, publicity, or contractual rights;
  • generate, distribute, or facilitate child sexual abuse material, non-consensual intimate imagery, content depicting real persons in defamatory or sexually explicit contexts, or content designed to incite violence or harass identifiable individuals;
  • develop, deploy, or assist in weapons of mass destruction (including chemical, biological, radiological, or nuclear), critical-infrastructure attacks, mass surveillance, or applications restricted by export-control or sanctions laws;
  • make automated decisions with legal or similarly significant effects on individuals (including in hiring, credit, healthcare, housing, insurance, or legal contexts) without human review, disclosure, and contestability, as required by GDPR Article 22, the EU AI Act, or analogous regulation;
  • attempt to reverse-engineer, decompile, extract weights from, or circumvent the licensing, rate-limits, sandboxing, or safety controls of the Services;
  • use the Services to compete directly with Kortecx, to build a substantially similar product, or to train competing foundation models;
  • use automated means to scrape, harvest, or extract data from the Services in a manner that imposes undue load or violates a published rate-limit;
  • impersonate any person, entity, or system in a way that would cause confusion or harm.

We may investigate and take action — including suspending or terminating accounts and reporting to law enforcement — in response to suspected violations. To report misuse, contact safety@kortecx.com.

7. Customer Content & Outputs

You retain ownership of your Customer Content and of the Outputs generated for you, to the extent ownership of such Outputs is recognized under applicable law. You grant Kortecx a limited, worldwide, non-exclusive license to process Customer Content solely to operate, secure, and deliver the Services to you. We do not train Kortecx models on Customer Content without your explicit written consent. You represent and warrant that you have the necessary rights, consents, and licenses to submit Customer Content to the Services and that processing it through the OS does not violate applicable law or any third-party right.

8. AI Outputs — Disclaimer & Review

AI-generated Outputs may be inaccurate, incomplete, biased, or unsuitable for a particular purpose and may resemble outputs generated for other users. You are responsible for reviewing, validating, and exercising independent judgment over Outputs before relying on them for material decisions, and for ensuring that your use of Outputs complies with applicable law. Outputs are not professional advice (legal, medical, financial, or otherwise).

9. Bring-Your-Own & Open-Source Models

Kortecx OS permits you to install and run Customer Models (including third-party and open-source models) inside the OS. You are solely responsible for (a) holding the rights and licenses required to use those models, (b) complying with their license terms (including any commercial-use, attribution, or distribution restrictions), and (c) the lawfulness, accuracy, and safety of their outputs. Kortecx does not warrant Customer Models and does not become a party to your relationship with their providers. Customer Models continue to run under the Kortecx OS policy layer.

10. Agent Orchestration & Customer Responsibility

You may spawn, configure, and orchestrate agents through Kortecx OS. You are responsible for the goals, scopes, permissions, and external integrations of any agents you configure; for the actions those agents take in third-party systems; for monitoring their outputs; and for ensuring that their use complies with applicable law and any third-party terms. Agents act on your behalf and within the policy boundaries described in Section 11.

11. Policy Layer (Non-Override)

Every action initiated through Kortecx OS — local or cloud — passes through the OS policy layer. The policy layer enforces safety, privacy, and security invariants, including prohibition of destructive or unauthorized operations, isolation of agents and workloads, and enforcement of license and usage limits. The policy layer is non-override: you may configure permitted scopes for your own deployment but may not disable, bypass, or alter the safety and security invariants of the OS.

12. Intellectual Property

The Services, including all software, kernel, runtime, policy layer, models, weights, documentation, designs, trademarks, and the "Kortecx," "Kortecx AI OS," and "Executable Intelligence" marks, are owned by Executable Intelligence or its licensors and are protected by intellectual property and applicable patent law. Nothing in these Terms transfers ownership of the Services to you. Feedback you voluntarily provide may be used by Kortecx without obligation or compensation.

13. Fees, Subscription & Metering

Kortecx is delivered as a managed subscription. The OS is included with every license; inference is metered against the models you run — ours or yours — and billed on a usage basis. Fees, billing cycles, seat counts, and metering definitions are described on our website or in an applicable order form. Fees are non-refundable except as required by applicable law. Late-payment interest, taxes (including VAT, GST, sales, and withholding tax), and currency conversion may apply as set out in your order form. Kortecx may revise pricing on notice; revised pricing takes effect at your next renewal.

14. Confidentiality

Each party may have access to non-public information of the other ("Confidential Information"), including Customer Content, non-public technical and business information, security details, and the terms of any order form. The receiving party will use Confidential Information only to exercise its rights and perform its obligations under these Terms and will protect it with at least the degree of care it applies to its own confidential information, and in no event less than reasonable care.

15. Service Availability, Updates & Suspension

We aim for high availability of Hosted Engines but do not guarantee uninterrupted access. We may modify, suspend, or discontinue the Services or specific features with reasonable notice. Kortecx OS receives security and feature updates; you consent to the OS receiving and installing security updates necessary to maintain the integrity of the policy layer. Where a paid subscription is materially degraded, you may be entitled to a pro-rata credit as set out in your order form or service-level agreement. We may suspend access without notice where continued provision would expose Kortecx or other users to legal, regulatory, security, or safety risk.

16. Beta & Pre-Release Features

Some features may be designated as alpha, beta, preview, or pre-release ("Beta Features"). Beta Features are provided as-is, may be unstable, may be removed at any time, and are excluded from any service-level commitment. Your use of Beta Features is voluntary and at your sole risk.

17. Warranties & Disclaimers

EXCEPT AS EXPRESSLY SET OUT IN A SIGNED AGREEMENT, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE. AI-GENERATED OUTPUTS MAY BE INACCURATE, INCOMPLETE, OR UNSUITABLE FOR A PARTICULAR PURPOSE AND MUST BE REVIEWED BY A QUALIFIED HUMAN BEFORE BEING RELIED UPON FOR MATERIAL DECISIONS.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU TO KORTECX IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THIS SECTION DOES NOT LIMIT LIABILITY FOR FRAUD, GROSS NEGLIGENCE, WILLFUL MISCONDUCT, DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

19. Indemnification

You agree to defend, indemnify, and hold harmless Kortecx, Executable Intelligence, and their respective officers, directors, employees, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your Customer Content; (b) Customer Models you install or use; (c) the actions of agents you configure and deploy; (d) your use of the Services in breach of these Terms; (e) your violation of applicable law; or (f) your infringement or misappropriation of a third party's rights.

20. Termination & Data Export

We may suspend or terminate your access to the Services if you materially breach these Terms, if continued provision would expose Kortecx to legal, regulatory, security, or safety risk, or for non-payment. You may terminate by ceasing use of the Services and following the cancellation procedure in your order form. Upon termination, your license to Kortecx OS ends and you must uninstall any Local Install. For Hosted Engines, you may export your Customer Content for a period of thirty (30) days after termination using documented export tools; thereafter we may delete remaining Customer Content. Sections that by their nature should survive termination (including IP, Confidentiality, Warranties & Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will survive.

21. Export Controls & Sanctions

The Services and any related technology may be subject to U.S. and other export-control and sanctions laws and regulations. You represent that (a) you are not located in, and not a national or resident of, any jurisdiction subject to comprehensive U.S. embargo, and (b) you are not on any U.S., EU, UK, or UN restricted-party list. You will not export, re-export, or transfer the Services to any restricted destination, end user, or end use prohibited by applicable export-control or sanctions laws.

22. Force Majeure

Neither party will be liable for any failure or delay in performance (other than payment obligations) caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, natural disaster, pandemic, labor disputes, internet or telecommunications failure, governmental action, or large-scale infrastructure incidents.

23. General Provisions

  • Assignment: You may not assign these Terms without our prior written consent; Kortecx may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Notices: Legal notices to Kortecx must be sent to legal@kortecx.com. Notices to you may be delivered through the Services or to the email associated with your account.
  • Severability: If any provision of these Terms is held unenforceable, the remaining provisions remain in effect.
  • No Waiver: Failure to enforce a provision is not a waiver of the right to enforce it later.
  • Entire Agreement & Order of Precedence: These Terms, together with the Privacy Policy, any DPA, and any order form, constitute the entire agreement. In the event of a conflict, an executed order form prevails over these Terms, which in turn prevail over the Privacy Policy and product documentation.
  • Independent Contractors: The parties are independent contractors; nothing in these Terms creates an agency, partnership, or joint venture.

24. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware, for any dispute arising out of or relating to these Terms, except that either party may seek equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

25. Modifications to Terms

We may update these Terms from time to time. Material changes will be highlighted on this page and, where appropriate, communicated through the Services. Your continued use of the Services after the effective date of a revision constitutes acceptance of the revised Terms.
